These Terms of Service (the Terms, Terms and Conditions) govern your access to, and use of the App operated by Rizon Technologies, UAB, a company established under the laws of the Republic of Lithuania with its registered office at Užupio g. 15-10, LT-01202 Vilnius, Republic of Lithuania (the Rizon, Company, we, or us).
Rizon operates solely as an information society service provider. The Services provided by the Company consist exclusively of supplying a non-custodial software platform that enables Users to access, interact with, and manage services offered by independent Third-Party Providers.
By accessing and using our App and Services, you agree to be bound by these Terms.
These Terms and Conditions, along with the Privacy Policy and any other terms and conditions that apply to our Services and form a legal agreement between you and Rizon.
- DEFINITIONS
Account
refers to the User profile created on the App that enables access to and use of the Services, including integration with Third-Party Providers. The Account is intended solely for interface access and only serves as a software layer for access to you Digital Assets. It does not constitute a crypto-asset wallet, a custodial account, a bank account, or a payment/e-money account, and does not involve the holding, custody, or management of digital assets or Fiat funds by the Company.
Card Off-ramp
refers to a service that enables the conversion of Digital Assets, such as stablecoins, into Fiat Currency for spending via a virtual or physical payment card. This service is provided by our partner Rain and allows Users to use their crypto balances to make purchases with merchants that accept traditional card payments. The Company does not issue, process, or control these cards or the underlying conversion process.
Digital Assets
refers to any digital representation of value that can be transferred, stored, or traded electronically, and that relies on cryptographic technology and/or distributed ledger systems (such as blockchain). This includes, but is not limited to, cryptocurrencies (e.g., Bitcoin, Ethereum), stablecoins (e.g., USDC, USDT, DAI), and other tokens that may serve as a medium of exchange, unit of account, store of value, or access to specific services or applications.
Digital Wallet
means a software-based tool controlled by the User or provided by a Third-Party Provider (Privy) that allows for the secure storage and management of Digital Assets and cryptographic keys. It enables Users to send, receive, and interact with blockchain-based assets. Only non-custodial Digital Wallets, where Users retain sole control of their private keys can be accessed within the App, which functions purely as a software layer to enhance User convenience. At no point does Rizon have access to or control over the User’s Digital Wallet. Rizon is not involved in the creation of Digital Wallets; this process is facilitated by our partner, Privy.
Fees
refer to any charges, commissions, or service costs imposed by the Company for access to or use of certain functionalities within the App, including but not limited to transaction facilitation, premium features, and integrations with Third-Party Providers. Fees may be payable in Fiat Currency or supported Digital Assets and will be disclosed transparently in accordance with these Terms.
Fiat Currency or Fiat Funds
refers to traditional currencies such as US Dollars, Euros, and British Pounds, issued and backed by governments and their central banks.
Financial and Digital Assets services
refers to services involving the custody, digital wallets, stablecoin and other cryptocurrencies transactions, off-ramping, and payment card services. These services are provided independently by Third-Party Providers and are governed by their own terms. The Company does not offer or control these services, and at no point does it act as a bank, CASP, custodian, or financial intermediary.
KYC
means Know Your Customer, comprising customer identity verification processes and procedures.
Privacy Policy
means the document provided on the website here that explains how we collect, use, store, and protect your personal data when you use the App. It also outlines your rights under applicable data protection laws, including the GDPR.
Rizon App or App
refers to our seamless non-custodial solution, a mobile application, which serves as software-based interface layer and enables users to access, connect to, and interact with third-party crypto services and financial tools. Rizon App acts as a user experience layer and conduit for initiating actions through integrated Third-Party Providers. It does not itself perform or control the underlying financial transactions or custody of assets.
Services
means the set of functionalities provided through the App that allow Users to connect with, initiate, and manage interactions with Third-Party Providers offering crypto-asset-related services. These functionalities include, but are not limited to, user interface tools for initiating stablecoin-based off-ramping transactions via card integrations, access to external digital wallets and payment processors, as well as the facilitation of identity verification and data integrations necessary for service execution. The Services do not include the provision of financial, digital assets custodial, or investment services by the Company.
Third-Party Provider(s) or Partner(s)
refer to independent entities that provide Digital Wallets, Fiat off-ramping, card services, or related financial services accessible through our App as a front end software layer.
User or you
refers to any individual person who accesses and uses the App.
- Eligibility and jurisdiction
You must be at least 18 years old to use the App and our Services. The App is available in the countries and regions specified on our website here. We reserve the right to restrict or deny access to our Services in certain jurisdictions or geographic regions. Information regarding such restricted areas is provided in the Terms and from time to time will be communicated to you via the App or other communication channels outlined in these Terms.
By accepting these Terms, you confirm that:
- you have read and understood these Terms;
- you have read, understood and accepted our Privacy Policy available here;
- you have provided correct and accurate contact information (including an email address that you check regularly) during the onboarding process;
- you are acting on your own behalf, have full legal authority to conduct transactions related to the Account; and
We currently do not actively market and offer our Services in the European Union (EU) and other regions outside of US and LATAM regions.
Users in jurisdictions subject to sanctions or restrictions under EU, OFAC, or UN laws are not allowed to access the App.
- YOUR ACCOUNT
To access and use the Services, you must first register and create an account with us. Your Account provides you with access to the Rizon App's functionalities, which facilitate access and use of the Financial and Digital Assets services provided by our Partners. The Account is for interface management purposes only and does not constitute a custodial crypto-asset wallet, a bank account, payment, or e-money account held with us. We do not hold or manage any funds or Digital Assets on your behalf. The underlying Financial and Digital Assets services are provided by our Partners that we engage. As instructed by our Partners we facilitate the required KYC and AML procedures.
Creating your Account in the App is quick and easy, but because we engage with trustworthy Partners there are a few important steps you'll need to follow to get started:
- You will be required to complete KYC and Anti-Money Laundering (AML) verification procedures. These measures are in place to verify user identity and ensure compliance with applicable regulatory standards.
- Following the completion of KYC/AML verification, user information will be screened for AML compliance and potential Politically Exposed Person (PEP) status. This screening is intended to identify and manage risks related to financial activity, including transactions involving virtual assets.
- You will need to create your digital assets wallet to access Third-Party services through the App.
The wallet connection is provided the Third-Party Service provider Privy, and is referred to in these Terms as a “Linked Wallet.”
This wallet is created and controlled solely by you and is not stored or accessible by us.
After successful Know Your Customer (KYC) verification through the Third-Party Provider Rain, a smart contract is assigned to you (“Smart Contract”), which is managed in part by Rain to enable Card Off-Ramp service. Your Linked Wallet becomes the sole administrator of this Smart Contract.
The Linked Wallet and Smart Contract enables you to interact with integrated Third-Party Providers on the App, including the ability to initiate Digital Assets transactions, store Digital Assets, and satisfy verification or collateral requirements where applicable.
Once your Linked Wallet is connected and verified, you may become eligible to request a virtual or physical debit card, issued by our Partner, Rain, which allows you to convert and spend supported stablecoins for real-world purchases through traditional payment networks. Access to card services may be subject to additional eligibility checks, KYC/AML verification, and the acceptance of Rain’s terms and conditions.

- DESCRIPTION OF SERVICES
Rizon App is a non-custodial software layer and frontend interface that enables Users to interact seamlessly with selected Third-Party Providers offering a range of Financial or Digital asset services. The App acts solely as a user interface and user experience tool. Non-custodial means that we and our Partners do not hold, control, or manage your Digital Assets and Funds, Digital Wallets, or private keys.
Through the App, the Users may:
- Use tools to access and manage Digital Assets services provided by Third-Party providers, including creating external wallets, viewing balances, and initiating stablecoin and other Digital Assets based transactions.
- Access service provided by Third-Party Providers: Fiat off-ramping, including the issuance and use of crypto backed cards (Rain Cards), enabling Users to spend stablecoins by converting them into Fiat through Rain’s and their licensed partners infrastructure.
Rizon does not:
- Provide Digital Wallet or custodial services or hold any user Fiat or Digital Assets or private keys.
- Transmit, convert, or exchange Fiat or Digital Assets on behalf of Users.
- Offer banking, payment, investment advisory, or financial intermediation services.
Each Third-Party Provider integrated with the App (including Privy and Rain) operates independently and may require Users to accept separate terms of service, complete verification procedures, or undergo risk and compliance checks. All actions taken via the App, such as wallet creation, card issuance, or Card Off-ramp are performed under the responsibility and terms of the respective Third-Party Provider.
We do not control the execution, success, or compliance of any services delivered by Third-Party Providers, and we do not guarantee their availability or approval processes. Users are solely responsible for reviewing and agreeing to those providers' terms and for maintaining the security of their accounts, wallets, and private credentials when interacting with the App.
- ThiRD PARTY PROVIDERS
We cooperate with the following Partners:
- Rain
We partner with Signify Holdings, Inc., the entity operating the Rain solution, a Third-Party Provider that together with its subsidiary Nimbus LLC facilitates off-ramp functionality via debit virtual or physical cards (“Rain Cards”). These cards allow Users to convert stablecoin balances into Fiat value for use with supported payment networks.
To utilize Rain Cards services through the App, you must apply for a Rain Account, which is subject to Rain’s own terms and approval process. This is part of your Account opening process through the App. You will be asked to provide specific information required by Rain to open Rain Account. Rizon does not store this information, as we do not provide the Rain Account to you.
Your Linked Wallet will be required to be eligible for Rain account.
Rain reserves the right to block or reject any Linked Wallet that does not meet their diligence criteria, in which case you may not be able to access Rain services. Additionally, Rain may cap or deny any Additional Wallets you attempt to link to your Rain Account. You agree that:
You remain solely responsible for the security and management of your Linked Wallet(s).
Your ability to use the Rain Card is contingent upon Rain's acceptance of your application and compliance with their separate platform terms and applicable law. We do not guarantee access to or performance of any Rain services. You can read about Rain and their services on their website here.
Separation of Functions and Regulatory Responsibility
Rizon provides only a software interface that enables Users to access financial and crypto-asset services offered by third-party licensed institutions. All regulated financial services, including card issuance, custody, payment processing, and any services involving fiat or digital asset flows, are provided exclusively by Nimbus LLC, a Subsidiary of Signify Holdings, Inc., a licensed financial institution authorized to provide such services under applicable laws and regulations. Nimbus LLC is responsible for maintaining all necessary regulatory approvals, including any required banking, e-money, or payment institution licenses, as well as membership with relevant card networks, as applicable.
By using the Services, you acknowledge and agree that Rizon acts solely as a technological conduit, and that all regulated services are provided by Signify Holdings Inc. through its subsidiary Nimbus LLC under their own compliance, risk management, and legal framework.
To the fullest extent permitted by law, Rizon disclaims all liability for any acts or omissions of Nimbus LLC and Signify Holdings, Inc. or other Third-Party Providers and shall not be held responsible for any losses, claims, or disputes arising from or related to the financial services accessed through the Rizon App.
- Privy
Privy is offered by Horkos, Inc., as a Third-Party Provider to facilitate User onboarding, authentication, and Digital Wallet infrastructure. Privy enables you to create and access your Digital Wallet using familiar login methods such as email-based authentication or OAuth logins (e.g., Google, Apple), significantly lowering the barrier to entry for accessing the Services.
Privy acts as a software layer and is responsible for managing your login credentials, authentication tokens, and user session data in a privacy-preserving, secure manner. At no point does Privy have access to your private keys or control over your Digital Wallet and Digital Assets.
The Digital Wallet that Privy helps to create is a non-custodial meaning that although the wallet may be initialized via Privy, the private key material is accessible and ultimately controlled only by you, and not by the Company, Privy, or any other third party.
This embedded wallet option allows you to seamlessly engage with compatible services on the App, including identity verification and access to off-ramping tools like Rain Cards. You retain full responsibility for safeguarding access credentials (including access codes or device-based authentication) to this embedded wallet, just as you would with any external wallet.
Use of Privy’s services is subject to its own privacy policy and terms of service, and by engaging with Privy’s tools through the App, you consent to such use. You can read more about Privy on their website here.
To the fullest extent permitted by law, Rizon disclaims all liability for any acts or omissions of Horkos Inc. or other Third-Party Providers and shall not be held responsible for any losses, claims, or disputes arising from or related to the Digital Assets services accessed through the Rizon App.
- Fees and Pricing
Use of the App may be subject to certain fees and charges. These Fees are intended to cover the cost of facilitating access to Third-Party Services through our user interface, as well as optional App’s features. By accepting these Terms and using the Services, you agree to pay all applicable Fees as outlined herein or presented to you at the time of use.
- Fee Types
Transaction Facilitation Fees:
A fee charged by us for enabling transactions with certain Third-Party Providers (e.g., Card Off-ramp, wallet integrations, or smart contract interactions). These fees will be clearly disclosed at the time of transaction execution.
Partner Referral or Integration Fees:
We may receive compensation from Third-Party Providers for user referrals, service integrations, or transaction volume. These fees are paid by the Third-Party Providers and do not result in additional charges to you, unless explicitly stated otherwise.
Premium Feature Fees:
Certain advanced features of the App may be offered on a subscription or one-time fee basis. These features will be optional and clearly marked as such.
Card Issuance or Maintenance Fees (Rain Cards):
Any fees associated with the issuance, use, or maintenance of a Rain Card will be determined and charged by Rain or its issuing partner. These fees are governed by Rain’s own terms and will be presented to you prior to activation or use.
- Fee Transparency
We aim to maintain full transparency in our fee structure. You will be notified of applicable fees prior to confirming any transaction or subscribing to a paid feature. All fees will be clearly presented either: on the transaction confirmation screen, or within the Fee Page available on our website or App interface.
- Currency and Settlement
Fees may be denominated in either Fiat Currency or supported Digital Assets (e.g., USDC, ETH). Where applicable, conversion rates will be displayed before transaction confirmation. Fees are settled at the time of transaction and are generally non-refundable, unless otherwise stated.
- Changes to Fees
We reserve the right to modify our Fees and their structure at any time by giving you 30 days prior notice. Any such changes will be communicated through the App and other channels as provided in these Terms and will not apply retroactively. Continued use of the App following any fee updates constitutes your acceptance of the revised fees. You can close your Account in case you disagree with the changes to the fees. We will not give you prior notice, if we decrease or remove any Fees.
- User Obligations and Acceptable Use
- General Obligations
By using the App and our Services, you agree to comply with these Terms, all applicable laws and regulations, and the acceptable use policies of any Third-Party Providers accessible through the App. You are solely responsible for ensuring that your actions on or through the App are lawful in your jurisdiction.
- You also agree to:
- Provide accurate, current, and complete information during Account creation and at all times thereafter.
- Maintain the security and confidentiality of your Account credentials, Digital Wallets, Linked Wallets and authentication methods.
- Promptly notify us if you become aware of any unauthorized use of your Account or security breach affecting your wallet or associated devices.
- Prohibited Uses
You agree not to use the App, or any Services accessed through it, to engage in or promote activities that are unlawful, harmful, abusive, or otherwise inappropriate, including but not limited to:
- Violating any law, regulation, or directive (including anti-money laundering, counter-terrorist financing, and sanctions laws).
- Engaging in or facilitating fraud, deception, or other dishonest behavior.
- Using the App in a manner that may interfere with, disrupt, or negatively affect other Users or the functionality of the App.
- Attempting to gain unauthorized access to any systems, data, or information.
- Using automated tools (e.g., bots, scrapers) to access or interact with the App without our express consent.
- Introducing or transmitting malware, viruses, or harmful code.
- Misrepresenting your identity or affiliation with any person or entity.
- App Integrity and Respect for Services
You shall not reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code or underlying ideas of any part of the App. You also agree not to exploit the App or any integrated service in a way that circumvents intended use cases or applicable access controls.
- Wallet and Asset Use
You are solely responsible for your use of any Linked Wallets connected to the App, including maintaining secure access to private keys, seed phrases, and passwords. You must ensure that any wallet you use is owned or controlled by you or your authorized representative. You accept full responsibility for any actions conducted through such wallets.
- Enforcement
We reserve the right to suspend, restrict, or terminate your access to the App at our sole discretion if we suspect or determine that your use violates these Terms, applicable law, or the terms of any Third-Party Provider integrated into the App.
- CLOSING YOUR ACCOUNT AND DATA PORTABILITY
You may stop using the App and transition away from our Services at any time. As Digital Wallet accessed through the App is a non-custodial wallet and your Digital Assets for the purposes of the Rain services are managed by a smart contract, you retain full control of your Digital Assets and can dissociate your Digital Wallet from the access via App interface (and unlink the Linked Wallet from Rain account) to access it through any other compatible non-custodial wallet service (e.g., MetaMask or Ledger).
To transition away from the App:
- Initiate the Digital Wallet export process from within the App;
- Before exporting, ensure that any remaining Digital Assets held in your smart contract wallet (managed by Rain) are first transferred to your non-custodial wallet (created by Privy);
- Complete the transfer, followed by a two-factor authentication (2FA) verification step;
- You will then be shown your secret recovery phrase;
- Once your smart contract held balance reaches zero as reflect through the App, your Digital Wallet is effectively disconnected form the App and Rain account;
- You may then use your secret recovery phrase to access your Digital Wallet via any external non-custodial service.
Please remember:
- Export and disconnection are performed at your own discretion and responsibility;
- You are encouraged to back up your credentials, recovery phrase, and any relevant metadata before initiating the process;
- Once you have dissociated your Digital Wallet, you will lose access to Rain services;
- Review and manage any Third-Party provider accounts (e.g., Rain, Privy) according to their respective terms and conditions.
Even after disconnection, we may retain certain information as required by law or for compliance purposes, in accordance with our Privacy Policy. You may contact us to exercise your data portability rights under applicable data protection laws, including the GDPR.
- ACCOUNT SUSPENSION, RESTRICTION, AND TERMINATION BY RIZON
We on our Partners reserve the right to suspend, restrict, or terminate your Account and limit your access to the App, either temporarily or permanently, under certain circumstances. These include, but are not limited to, the following:
- We reasonably believe that your actions may negatively affect the integrity, functionality, or reputation of the App or our business operations.
- We are required to do so by applicable law, regulation, court order, law enforcement request, or a directive from a competent authority.
- There are reasonable grounds to suspect a breach of these Terms or other policies applicable to your use of the App or Third-Party Providers services.
- We or Third-Party Provider detect or suspect technical errors, unusual activity, or potentially invalid or unauthorized transactions initiated through your Linked Wallet.
- We have reason to believe that access to your Account has been compromised or initiated without your consent or authorization.
- There is evidence of actual or attempted fraud, unauthorized use, or misuse of the App or the Services.
- We suspect any connection to money laundering, terrorist financing, sanctions violations, or other illicit activity.
- Your Account is subject to ongoing legal proceedings, investigations, or regulatory scrutiny.
- Your use of the App appears to present heightened compliance or operational risks, including violations of applicable financial services laws or Third-Party Provider terms.
- Your Account has been associated with any activity defined as a prohibited under these Terms.
In the event of suspension or termination, we may cancel, delay, or prevent the execution of any pending transactions or services accessed via the App, including interactions with Third-Party Providers such as Linked Wallets or Card Offramp/Rain Cards.
Where appropriate, we will provide you with a reason for the action taken, along with guidance on how to remedy the issue, such as by providing missing documentation or resolving discrepancies. Once the underlying issue is resolved to our satisfaction, and if no legal or regulatory barrier exists, we may lift any restrictions and restore access to your Account.
In general, we will provide at least thirty (30) days’ prior notice of termination, unless we or our Partners determine that earlier action is required to protect system security, comply with legal obligations, or mitigate fraud or other risks. In certain cases, we may not disclose specific reasons for suspension or termination if doing so could compromise our security controls, regulatory compliance, or legal duties. These internal criteria will remain confidential and will not be shared with unauthorized third parties.
We aim to apply a fair, risk-based, and transparent approach to any enforcement actions taken against Accounts and will endeavor to offer you the opportunity to resolve issues whenever feasible.
- Prohibited activities and JURISDICTIONS
- Jurisdictional Restrictions
Use of the Services in connection with the Rain and Rain Card is prohibited in certain high-risk or sanctioned jurisdictions, as determined by Rain and its compliance obligations. This includes (but is not limited to): Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine.
In addition, Rain does not permit individuals or entities listed on international sanctions lists—including those maintained by the U.S. Treasury’s OFAC, the EU, the U.K., or the U.N. to use its services. This includes users identified on the Denied Persons List, Entity List, or any other relevant restricted party list.
Accounts may not be opened or operated by individuals or businesses located in the following prohibited jurisdictions (subject to update by Rain at its discretion):
Afghanistan, Albania, Belarus, Bosnia, Central African Republic, Congo, Croatia, Cuba, Cyprus, Eritrea, Haiti, Iran, Iraq, Kosovo, Lebanon, Liberia, Libya, North Macedonia, Moldova, Montenegro, North Korea, Russia, Serbia, Somalia, Syria, Ukraine, Venezuela, Vietnam, Yemen, Zimbabwe.
- Prohibited Activities
You may not use the App and/or to access Rain services if your activities directly or indirectly involve any of the following:
Illegal or Regulated Activities:
- Sale of controlled substances in violation of applicable law.
- Weapons, firearms, ammunition, or explosives.
- Child exploitation materials.
- Gambling, betting, or games of chance (where not legally authorized).
- Prostitution or unlicensed escort services.
- Counterfeit goods or grey market products.
- Pyramid or Ponzi schemes.
Intellectual Property Violations:
- Unauthorized sale or distribution of copyrighted material.
- Counterfeit goods or unauthorized brand use.
- Products or services infringing third-party IP rights.
Violent or Hateful Conduct:
- Content or actions promoting violence, hatred, or discrimination based on protected characteristics (e.g., race, gender, religion, nationality, sexual orientation, or disability).
Misuse of Services:
- Providing false or misleading information during onboarding or use.
- Acting on behalf of undisclosed third parties or undeclared business activities.
- Unauthorized use of Rain trademarks, branding, or implied endorsements.
Rain and its partners reserve the right to suspend or terminate access to the Services where prohibited activities are suspected, and to update this list as required by applicable law, regulatory expectations, or internal compliance policies.
- Risk Disclosure
Crypto and stablecoin risk
Digital Assets, including stablecoins, carry unique risks. Some stablecoins are designed to maintain a fixed value relative to Fiat Currencies (e.g., USD), but they are not guaranteed by any government or central bank. The underlying assets, operational models, or issuers of stablecoins may fail, become insolvent, or lose regulatory approval, which may impact the value or usability of those assets.
Third-party service risk
The App acts solely as an interface layer and does not operate or control any Third Party Providers, including digital wallets, payment processors, or card issuers. If a Third-Party Provider experiences downtime, service suspension, fraud, regulatory enforcement, insolvency, or other operational failures, this may affect your ability to access funds, complete transactions, or redeem balances. We do not assume any responsibility for the performance, compliance, or availability of such services.
Market volatility
The value of Digital Assets can fluctuate significantly and unexpectedly due to market forces, regulatory developments, technological changes, or global economic factors. Price movements may be rapid and severe, and you may lose part or all of the value of your Digital Assets. As the Company only provides App serving as interface layer, the Company cannot assume and does not provide any guarantee regarding the stability or future value of any asset.
Loss of private key or access to Linked Wallets
Access to Digital Assets requires possession of private keys or secure authentication credentials linked to your digital wallet. If you lose access to these credentials or if they are stolen or compromised, you may permanently lose access to your assets. The Company does not store or recover private keys and cannot assist in recovering lost wallets or funds.
You do not guarantee asset value or successful redemption via Card Off-ramp
Card Off-ramp is subject to eligibility requirements, transaction limits, jurisdictional restrictions, and approval by our issuing partner Rain. We do not guarantee that your card transaction will be accepted, processed, or settled, nor do we warrant the redemption of any Digital Assets into Fiat Currency. Approval and functionality are governed by the terms and operational capacity of Rain or their partners.
No protection over Financial and Digital Assets
For U.S. users, Digital Assets are not protected by the Federal Deposit Insurance Corporation (FDIC) or the Securities Investor Protection Corporation (SIPC). They are not backed by the U.S. government or any financial institution.
You acknowledge and accept the inherent risks associated with holding and transacting with Digital Assets, including but not limited to:
- Loss of access to your digital wallet due to misplacement or compromise of private keys, seed phrases, or credentials;
- Unauthorized access by third parties;
- Irrecoverable loss of Digital Assets due to user error or software malfunction.
You must take all reasonable measures to secure your wallet and credentials. By using the Services, you acknowledge these risks and accept sole responsibility for any Digital Assets you choose to use in connection with the App. To the fullest extent permitted under applicable law, including consumer protection laws, you release the Company from any liability arising from or related to your use, storage, or loss of Digital Assets.
Please remember, that at no time does the Company have access to, possession of, or control over any Digital Assets stored in your personal Digital Wallet. You are solely responsible for the custody, security, and management of your Digital Assets when using the Services. We do not act as a custodian, and the Services do not include safeguarding or administering Digital Assets on your behalf.
- Limitation of Liability
The App and its associated Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. We do not guarantee that the App or any integrated services will be uninterrupted, error-free, or suitable for your specific use.
We expressly disclaim any liability for the availability, performance, or conduct of any Third-Party Provider integrated into the App, including but not limited to wallet services (e.g., Privy), identity verification services, or card-based off-ramp services (e.g., Rain). We are not responsible for outages, service failures, declines, delays, or disruptions caused by such third parties, nor do we assume responsibility for their regulatory status or actions.
You acknowledge and accept that:
- We do not control or custody your Digital Assets, and we bear no liability for any loss, theft, or misuse of those assets.
- We are not responsible for failed card transactions, including those that may result from Rain's or their Partners decline policies, card network issues, or insufficient collateral.
- Any financial or crypto-asset transactions initiated via the App are solely between you and the applicable Third-Party Provider, and we shall not be liable for any direct or indirect losses arising from such transactions.
To the maximum extent permitted by applicable law, our total liability to you for any claims arising out of or relating to these Terms or your use of the App shall be limited to the lesser of (i) $100 or (ii) the total fees paid by you to us through the App in the preceding twelve (12) months. We shall not be liable for any indirect, incidental, punitive, or consequential damages, including but not limited to lost profits, loss of data, or reputational harm.
This limitation shall apply regardless of the legal theory on which the claim is based and even if we have been advised of the possibility of such damages.
- Indemnity
You agree to indemnify, defend, and hold harmless the Company, its affiliates, and service providers from and against any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of or related to: (i) your violation of any applicable laws or regulations; (ii) misuse of any Third-Party Provider services accessed via the App; or (iii) improper or unauthorized use of the App interface.
- Privacy and Data Protection
We are committed to protecting your personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). Please refer to our Privacy Policy for detailed information on how we collect, use, store, and transfer your data. Depending on your use of the App, data may be processed within the EU and transferred to third countries, including the United States and LATAM regions, under appropriate safeguards. By using the App, you consent to the processing of your personal data as described in our Privacy Policy.
- Modifications to THE TERMS
We may update or amend these Terms from time to time for various reasons, including but not limited to:
- Improving clarity, accessibility, or usefulness for Users.
- Reflecting updates in how the App or any integrated Third-Party Provider operates.
- Complying with legal, regulatory, or industry developments.
- Adjusting to changes in the costs or commercial landscape of operating the App.
- Introducing new features, services, or integrations, or modifying existing ones.
Notice of Changes
If we introduce a new feature or service or make any changes that do not materially affect your existing rights or obligations under these Terms, we will make them available immediately and inform.
For other changes, we will provide you with at least thirty (30) days' notice via the App and/or email. If you do not agree to the changes, you may discontinue use of the App and close your Account at any time before the changes take effect. Your continued use of the App after the notice period will be deemed acceptance of the updated Terms.
We aim to provide a high standard of service and take all user concerns seriously. If you have a complaint or believe we have not met your expectations, you may contact us using the details provided in the Contact section of these Terms.

Our Response Process
We will acknowledge receipt of your complaint within a reasonable time, typically within ten (10) business days. A thorough investigation will follow, and we will aim to respond with a resolution or provide an update within thirty (30) days of receiving the complaint.
IMPORTANT: Please be aware that we are not responsible for the products, services, or actions of our Third-Party Providers. If your concern or complaint pertains to a service, product, or experience provided by one of our partners, we kindly ask that you reach out to them directly for resolution. Each partner operates independently and is solely responsible for their own services and customer support.
- Governing Law AND Dispute Resolution
These Terms, which govern your use of the App as a non-custodial, technology-only interface, shall be governed by the laws of the Republic of Lithuania, without regard to conflict of law principles. These Terms do not govern any financial, custodial, or regulated services, which are separately provided by Third-Party Providers under their own terms and applicable laws.
